Legal agreement governing your use of Mindforge services

These Terms of Service ("Terms") govern your access to and use of the services, software, and websites (collectively, the "Services") provided by Mindforge Intelligence, LLC ("Mindforge," "we," "us," or "our").

1. Acceptance of Terms

By accessing or using our Services, you ("Client," "you," or "your organization") agree to be bound by these Terms and our Privacy Policy. If you are entering into these Terms on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms.

2. Description of Services

Services Provided

Mindforge provides proprietary data analytics and alert services including but not limited to:

Real-time market analysis and alerts
Crisis detection signals
Regime change notifications
Historical data analysis
API access to analytical services

Data Sources

Our Services utilize publicly available data sources including solar activity, geomagnetic measurements, market data, and other environmental indicators. We do not guarantee the accuracy, completeness, or timeliness of third-party data sources.

3. User Accounts and Access

Account Creation

To access our Services, you must create an account and provide accurate, complete, and current information. You are responsible for maintaining the confidentiality of your account credentials.

Authorized Users

You may designate authorized users within your organization to access the Services. You remain responsible for all activities that occur under your account, regardless of which authorized user performs them.

4. Acceptable Use

Permitted Uses

You may use our Services solely for:

Internal data analysis for informational purposes only
Research and analytical activities (no investment advice provided)
Academic and statistical research
Integration with your internal systems for data purposes only

Prohibited Uses

You may not:

Redistribute, resell, or sublicense access to our Services
Reverse engineer, decompile, or attempt to extract our proprietary algorithms
Use the Services for any illegal, fraudulent, or unauthorized purpose
Interfere with or disrupt the integrity or performance of our Services
Share your account credentials with unauthorized third parties
Engage in automated scraping, bulk extraction, or circumvent technical rate limits or access controls
Publicly disseminate analytical outputs, or materially derived outputs, outside your organization without our prior written consent
Use our data, outputs, or derivatives to train, fine-tune, or improve any machine learning, artificial intelligence, or large language model systems
Access our Services through automated AI agents, bots, or autonomous software systems without prior written authorization
Combine our data with other sources to develop competing predictive analytics products or services

5. Artificial Intelligence and Machine Learning Restrictions

Prohibited AI/ML Activities

WITHOUT EXPLICIT WRITTEN AUTHORIZATION FROM MINDFORGE, YOU MAY NOT:

Use any Mindforge data, analytical outputs, classifications, or derivatives as training data for machine learning models, neural networks, or artificial intelligence systems
Fine-tune, prompt-engineer, or otherwise incorporate Mindforge outputs into large language models (LLMs), foundation models, or generative AI systems
Feed Mindforge data or outputs into automated AI agents, autonomous trading systems, or software that operates without direct human oversight
Create embeddings, vector representations, or other machine-readable transformations of Mindforge outputs for AI training purposes
Use Mindforge outputs as ground truth, labels, or validation data for supervised or reinforcement learning systems

Automated Access Restrictions

Access to our APIs and Services through AI agents (e.g., LangChain, AutoGPT, OpenAI Assistants, or similar autonomous software) requires explicit written authorization. Unauthorized automated access may result in immediate account termination and legal action.

Competitive Use Prohibition

You may not use Mindforge data, methodologies, or outputs, directly or indirectly, to develop, train, or improve any competing product, service, or predictive system, including but not limited to market analytics, volatility prediction, or crisis detection systems.

6. Intellectual Property

Mindforge Property

All intellectual property rights in the Services, including algorithms, methodologies, software, and documentation, remain the exclusive property of Mindforge. These Terms grant you only a limited, non-exclusive, non-transferable license to use the Services.

Data and Outputs

While you retain ownership of any data you provide to us, any analytical outputs generated by our Services remain our intellectual property, though you have the right to use them for your internal business purposes. Public dissemination or external redistribution of such outputs (or materially derived outputs) is prohibited without Mindforge's prior written consent.

Use of Analytical Outputs and Data Products

Unless expressly authorized in an Order Form or separate data licensing agreement executed with Mindforge, you may use analytical outputs, regime classifications, and other data products generated by the Services solely for your internal business purposes under your subscription.

You may not publicly display, redistribute, resell, white-label, or otherwise make such outputs or any materially derived outputs available to third parties (including your clients, customers, or platform users), nor grant any sublicense or similar rights in them, without Mindforge’s prior written consent in a separate data licensing contract or Order Form that expressly grants such external use rights.

7. Financial Terms

Fees and Payment

Fees for our Services are as specified in your Order Form or service agreement. All fees are non-refundable unless otherwise stated. Payment terms are net 30 days from invoice date.

Taxes

You are responsible for all applicable taxes, duties, and governmental charges related to your use of the Services.

8. Disclaimers and Limitations

No Investment or Medical Advice

THE SERVICES ARE PROVIDED FOR INFORMATIONAL AND ANALYTICAL PURPOSES ONLY. MINDFORGE DOES NOT PROVIDE INVESTMENT, FINANCIAL, TRADING, OR MEDICAL ADVICE. WE ARE NOT A REGISTERED INVESTMENT ADVISOR. ALL INVESTMENT AND MEDICAL DECISIONS ARE THE SOLE RESPONSIBILITY OF THE CLIENT. PAST PERFORMANCE DOES NOT GUARANTEE FUTURE RESULTS.

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, MINDFORGE'S TOTAL LIABILITY UNDER THESE TERMS SHALL NOT EXCEED THE FEES PAID BY YOU IN THE PRECEDING 12 MONTHS. WE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES.

Disclaimer of Warranties

THE SERVICES ARE PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

9. Indemnification

You agree to indemnify and hold harmless Mindforge from any claims, damages, or expenses arising from your use of the Services, violation of these Terms, or infringement of any third-party rights.

10. Term and Termination

Term

These Terms remain in effect while you use our Services or until terminated by either party.

Termination

Either party may terminate these Terms with 30 days written notice. We may terminate immediately for material breach or non-payment.

Effect of Termination

Upon termination, your access to the Services will cease, and we will delete your data according to our data retention policies.

11. Compliance and Export Controls

Regulatory Compliance

You acknowledge that our Services may be subject to export controls and sanctions laws. You agree not to use the Services in violation of any applicable laws or regulations.

OFAC Compliance

You represent that you are not on any government restricted parties list and will not provide access to anyone on such lists.

12. General Provisions

Entire Agreement

These Terms, together with your service agreement and our Privacy Policy, constitute the entire agreement between the parties.

Amendments

We may modify these Terms by providing 30 days notice. Continued use of the Services after such notice constitutes acceptance of the modified Terms.

Severability

If any provision of these Terms is found invalid, the remaining provisions will remain in full force and effect.

13. Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of Texas, without regard to conflict of law principles.

Any disputes arising under these Terms shall be resolved through binding arbitration in Stamford, Connecticut, under the rules of the American Arbitration Association.
